a. On May 1, Jennings, a car dealer, emails Wheeler and says, “I have a 1955
Thunderbird convertible in mint condition that I will sell you for $13,500 at any
time before June 9. [Signed] Peter Jennings.” By May 15, having heard nothing
from Wheeler, Jennings sells the car to another. On May 29, Wheeler accepts
Jennings’s offer and tenders $13,500. When told Jennings has sold the car to
another, Wheeler claims Jennings has breached their contract. Is Jennings in
breach? Explain.
b. Richard is an employee of the Dun Construction Corp. While delivering materials
to a construction site, he carelessly backs Dun’s truck into a passenger vehicle
driven by Green. This is Richard’s second accident in six months. When the
company owner, Dun, learns of this latest accident, a heated discussion ensues,
and Dun fires Richard. Dun is so angry that he immediately writes a letter to the
union of which Richard is a member and to all other construction companies in
the community, stating that Richard is the “worst driver in the city” and that
“anyone who hires him is asking for legal liability.” Richard files a suit against
Dun alleging libel on the basis of the statements made in the letters. Discuss this
claim and whether it will be successful.
c. Charles Robison, an employee of West Star Transportation, Inc., was ordered to
cover an unevenly loaded flatbed trailer with a 150-pound tarpaulin (a waterproof
cloth). The load included uncrated equipment and pallet crates of different
heights, about 13 feet off the ground at its highest point. While standing on the
load, manipulating the tarpaulin without safety equipment or assistance, Robison
fell and sustained a traumatic head injury. He filed a suit against West Star to
recover for his injury. Was West Star negligent in failing to provide a reasonably
safe place to work as Robison claimed? Explain.
d. Danny and Marion Klein were injured when part of a fireworks display went
astray and exploded near them. They sued Pyrodyne Corp, the pyrotechnic
company that was hired to set up and discharge the fireworks. The Kleins alleged,
among other things, that the company should be strictly liable for damages caused
by the fireworks display. Will the court agree with the Kleins? What factors will
the court consider in making its decision? Discuss fully.
e. Graduate level writing is expected. Punctuation, grammar, spelling and
thoughtful, complete sentences are a part of your grade.

Many recreational activities have an inherently higher risk of personal injury to participants.
People will choose to participate in these types of activities, despite their known risks, for fun
and personal enjoyment. It is perfectly ethical for a business to include a liability waiver to
reduce the business risks associated with being held legally and financially responsible for typical
injuries that may occur through participation of the activity. If I am going to go jumping at a
trampoline park like Sky High, I know that I am risking a twisted ankle or possibly even a broken
leg. These types of injuries are normal accidents that can happen from jumping on a trampoline.
The business is not at fault in these types of circumstances, and I would not expect it to be liable
for my injuries. From both the perspective of a business and a participant, these types of liability
waiver clauses in a contract are expected, seem very reasonable, and should be enforced.
Ethical dilemmas can occur, however, if the liability waivers are worded such that the business is
excluded from any liability due to negligence or intentional misconduct. A recreational activity
business should do everything in its power to ensure the safest possible environment for
participants. Risk of injury cannot be eliminated completely, but it can be minimized through
clear communication of risks, proper maintenance of equipment, and safety controls and
protocols. If a business fails to do this, it should be held liable for its negligence. A business
might want to insert a contract clause that releases it from all types of liability to lessen the
financial burden associated with participant injuries. From a participant’s perspective, I find this
to be very unethical for a business to try to avoid responsibility for injuries where the business is
at fault. While a court may still enforce these types of waivers if deemed reasonable, I personally
do not think they should be enforced.

I believe liability waivers are ethical and incredibly important for recreational activities. Most
recreational activities can cause injuries and that’s okay. If we were to hold every basketball gym liable
for every sprained ankle there would be no basketball gyms. I also think it’s important that that liability
waivers are limited to covering only non-preventable injuries. If a basketball gym has a loose floor board
or water leak on the court, I think ethically they are responsible for injuries that happen because of
those problems. So in the Sky High scenario a trampoline park would be almost impossible to do without
liability waivers. As long as injuries were not caused because of trampoline malfunctions, I believe they
shouldn’t be held liable for the injuries. I think there is an inherent risk of injury that everyone accepts
when they participate in certain activities and we can’t punish companies for allowing people to make
their own choices.

How to Analyze Case Problems
Understand the Facts
Before you can analyze or apply the relevant law to a specific set of facts, you must clearly
understand those facts. To clearly understand the facts, you should read through the case
information carefully – more than once if necessary – to make sure you understand the
plaintiff(s) and defendant(s) in the case and the progression of events that led to the
lawsuit. Law students and lawyers often use abbreviations for the parties. To indicate a
reference to a plaintiff, the pi symbol – 𝜋π – is often used, and a defendant is denoted by
a delta – ΔΔ – a triangle.
Legal Analysis and Reasoning
Once you understand the facts, you can begin to analyze the case. The IRAC method is a
helpful tool to use the analysis and reasoning process. IRAC is an acronym
for Issue, Rule, Application, and Conclusion.
Issue: first, you decide what legal issue is involved in the case. Let’s use a hypothetical
slip and fall at a grocery store due to a wet floor to walk through these steps. For
example, the issue is whether the grocery store failed to warn customers of the wet floor
and, therefore, was negligent.
Rule: once you have identified the issue, the next step is to determine what rule of
law applies to the issue. In the grocery store example, tort law says that business owners
owe a duty to protect their customers by using reasonable care. Reasonable care in this
context includes warning customers of foreseeable risks which the owner knew or should
have known about. If a business owner breaches this duty of care and the breach of duty
causes a customer to be injured, the business owner will be liable for the customer’s
injuries.
Application: the next step is the application of the relevant rule of law to the specific facts
of the case. In the grocery store example, an employee just mopped the floor in the aisle
where the customer slipped and fell and there wasn’t a sign warning of a wet floor. That
a customer might fall on a wet floor is clearly a foreseeable risk. Therefore, the failure to
warn customers about the wet floor was a breach of the duty of care owed by the grocery
store to its customers.
Conclusion: Once you have completed step 3 in the IRAC method, you should be ready to
draw a conclusion. For example, the grocery store is liable to customer for his injuries
because the store’s breach of its duty of care caused the customer’s injuries.
Often, the fact patterns aren’t as simple as the grocery store example. There may be more
than one issue in a case and one or more applicable rule of law. There may also be a
defense – possibly, the employee verbally told the customer to avoid the area. Give this

After years of encouragement, he has decided to take his miracle cough remedy to market as “Fred’s Miracle Cough Syrup.” While his cough syrup is homeopathic, one of the key ingredients causes a severe reaction when taken in conjunction with aspirin. Fred plans to make and bottle his cough syrup in an outbuilding on the family farm. His son, Sam, has been raving to the locals about his father’s cough syrup for years, and the local drug store and grocer have contacted Fred to place orders as a result. Sam also intends to approach several national chains in an effort to secure supply contracts for Fred’s cough syrup. Fred has asked Sam to assist him with deliveries, as Sam has a van. Fred would like Sam to be involved with the business as an employee initially, with the option of making him a partial owner at a later time. Fred and his wife Sally have two children, Sam and Lilly. Both live in cabins on the family farm with their spouses and children. Stacey Smith owns a lot in the hills of Pennsylvania and wants to build a house according to a particular set of plans and specifications. She solicits bids from bidding contractors and receives 2 bids: one from Carlton for $260,000 and one from Feldberg for $258,000.  One night, while having a drink with friends during happy hour Stacy is telling her friends about her desire to build this home and her uncertainty of the costs associated with the project. Siegel, although laughing with others at the table, had heard Stacey’s story and leaned across the table and said, “you are being taken for a ride because you are a lady.If you let me, I will build your house for half of that price, no more than $125,000!“Delighted, Stacy jumps on the offer and says I accept. I will have money for you tomorrow to get started.  The next day Siegel shows up at the property and Stacey pays him a $100,000 down payment to cover most of the construction costs One month after beginning construction of the house, Siegel contacts Smith and tells her that because of inflation and a recent price hike for materials, he will not complete the construction unless Smith agrees to pay an extra $150,000. Smith reluctantly agrees to pay the additional sum. 4 months later Smith has an unfortunate accident resulting in her death. Stacy’s only son, Tom wants the construction completed.
This discussion is a continuation of the story from the first Contracts Formation discussion – with additional facts! 
Tom, Stacey’s sole survivor and her very mature and intelligent 17 year old son, who graduated from high school early and is a Senior in College, where he has completed his business law class. He wants to continue live in the new home under construction, but wants to turn the property into a horse breeding ranch and build a 16 unit stable. He contacts Siegel who learns that Tom is about to graduate from college. As Siegel prepares the contract for Tom, he asks, “You are old enough to do this right?” Tom agrees he is a senior in college and signs an additional contract for the completion of a 16 unit stable for $65,000, due upon completion.  A year later the Stable Project is completed, and Siegel asks for his final payment of $65,000.  Tom never replies, and finally Siegel files suit for recovery of his $65,000.
Do not discuss contract questions of Agreement – offer and acceptance, or Consideration. Limit this discussion to legal theories covered in Chapters 14 & 15.
Using F-IRAC consider the Contract Formation questions for this contract between Tom & Siegel. Is it valid, is it enforceable.

RULE:In accordance to contract law, minors (persons under 18 years) may enter into contracts allowed by law but the contracts are voidable at the minor’s option. A minor may get into contracts which involve acquisition of necessities. Once a minor contracts for necessities, they are binded by the contract and it ceases to be voidable. Disaffirmance of a contract, which is the avoidance of a contractual obligation, can be done anytime while still a minor or within reasonable time after achieving legal age. In cases where the commodity contracted is not a necessity, the minor is allowed to disaffirm the contract. Following the disaffirmance of the contract, the minor is obliged to restore the adult to pre-contract position. According to the objective theory of contracts also, a contract is legally binding if in the opinion of a reasonable person who is not a party to the contract, an offer has been made and accepted. By the standards of a reasonable person therefore, if the parties to the contract fit the requirements of the objective theory of contracts, the contract is therefore enforceable.
Rima Frank:ANALYSIS:
 The current case requires a determination as to whether there was a valid contact for the construction of 16 unit stable and is the contract is enforceable to Tom to pay $65,000 for the work Siegel did.Generally, in the case of unilateral mistake the mistaken party still can not relief from the contract and normally the contract can be enforceable. In the fraud the innocent party can enforce contract and seek damages from harm. The contract can be voidable but in the same time can be enforceable. In this case we see the fraud from Tom when he lied about his age. He could not enter the contract when he is a 17-years old minor. By the law he can entered it when he is 18+. He should know it, however he  studied business law in the College. But when Siegel asked him about the age, Tom lied and deceive that he is too young for the contract. The contract could be voidable and not valid. But Siegel without knowing the true facts did his job and his duties by contact and he finished construction, so now contract is enforceable and now Tom has his own duties to Siegel. This contact is voidable but still enforceable as Siegel did construction and now he has rights to seek for recovery of his $65,000. In current case we see fraud because the lying about the age is misrepresentation of facts, we see intent to deceive that Tom said that he is old enough to enter the contract, innocent party Siegel relies to misrepresentation that Tom is older than 18 sighed contract and did the construction, finally harm occurred due to misrepresentation that Siegel did his work and did not receive money for it.The contract fraud we can also see in the “Sarvis v. Vermont State College” case, when the hired teacher lied about his criminal history and when the College found out about his lie they fired him.
